We are not responsible for any direct, indirect, incidental or consequential damages arising out of or relating in any way to your use of the service.
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

Some parts of the Service are billed on a subscription basis/credits (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. Or on a one-time basis for credits.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Prospero cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Prospero customer support team.
A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide Prospero with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Prospero to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Prospero will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Prospero, in its sole discretion and at any time, may modify the Subscription/Credits fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Prospero will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
You agree to indemnify and hold Us and Our employees, agents, directors, harmless for any claims by You or any third party which may arise from or relate to this Agreement or the provision of our Service to You, including any damages caused by:
(1). Your use of our Website or acceptance of the offers contained on it
(2). Any breach by You under this Agreement.
(3). Any content of your User Data, including infringement of third party’s Intellectual Property.
You also agree that You have a duty to defend Us against such claims and We may require You to pay for an attorney(s) of our choice in such cases.
You agree that this indemnity extends to requiring You to pay for our reasonable attorneys’ fees, court costs, and disbursements.
In the event of a claim such as one described in this paragraph, We may elect to settle with the party/parties making the claim, and You shall be liable for the damages as though We had proceeded with a trial.
In no event shall We have any liability for any lost profits or revenues or for any indirect, special, incidental, consequential cover or punitive damages however caused.
1. Limitation Of Liability. IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE TOTAL FEES PAID TO US BY YOU FOR USE OF THE SERVICE DURING THE PRECEDING THREE MONTH PERIOD OR IN THE EVENT OF AN ANNUAL FEE – AN AMOUNT EQUAL TO ONE QUARTER OF SUCH ANNUAL FEE.
2. Exclusion Of Consequential And Related Damages. IN NO EVENT SHALL WE HAVE ANY LIABILITY FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING DISCLAIMER SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
Certain refund requests for Subscriptions may be considered by Prospero on a case-by-case basis and granted in sole discretion of Prospero.
Our Service may contain links to third-party web sites or services that are not owned or controlled by Prospero.
Prospero has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Prospero shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

These Terms shall be governed and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.

These tools assist in generating content and insights for your use on the Prospero platform (the “AI Tools” or “AI services”). We offer AI functionalities that you can activate or deactivate manually, allowing your end users to engage with AI-generated content. This section applies only to the extent that AI Services are utilized as part of the Prospero services.
Prospero provides its services “as is” and without warranties of any kind. To the fullest extent permitted by law, Prospero disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Third-Party Technology Partner
Prospero integrates with OpenAI to enhance our service offerings. By using this integration, you acknowledge and agree to comply with OpenAI’s terms and conditions. Prospero is not responsible for the functionality or availability of OpenAI’s services, and any issues arising from their use should be directed to OpenAI.

Acceptable Use Policy
You agree to use Prospero AI services in a manner consistent with all applicable laws and regulations. You must not use the services to:
Engage in any unlawful or fraudulent activity.

Distribute viruses or any other harmful computer code.
Prospero reserves the right to impose limits on the number of outputs you can create with the AI tools. You will be notified when you have reached the maximum number of outputs for your account. Additionally, please note that the AI tools may not be available in all languages.
Restrictions
You are prohibited from:
Reverse engineering, decompiling, or disassembling the Prospero platform.
Using automated systems or software to extract data from the Prospero website for commercial purposes.
Modifying or creating derivative works based on the Prospero platform.
You agree not to include any sensitive personal data (including data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, health data, or data concerning your sex life or sexual orientation) in any input to the AI Tools. If any of your input or output is alleged to be unlawful or in breach of the AI Terms, you acknowledge that Prospero may disclose such content to law enforcement or other governmental authorities or in response to a court order.

Prospero is committed to safeguarding your data when using AI services. Here’s how we handle your data:
Data Storage: Your output data generated through AI services are stored securely on Prospero’s servers or cloud infrastructure.
Data Processing: We process your data to provide AI-generated content and recommendations within the Prospero platform. This processing includes utilizing advanced algorithms and may involve third-party integration with OpenAI for enhanced functionality.

By using Prospero’s AI tools, you grant Prospero the right to host your input and output on our platform and use it to improve our products and services.
Output Accuracy & Ownership
Prospero uses its proprietary mechanism, powered by OpenAI’s API and services, to generate content and provide recommendations. While we strive for high accuracy, we do not guarantee any generated content’s correctness, completeness, or usefulness. Users should independently verify the output before relying on it for any purpose.
If you decide to use, publish, transmit, or display any content generated by Prospero in your proposals or any other document, it will be considered your User Content (see “Content” section above). In such cases, these Terms will apply as if it were User Content, to the extent permitted by applicable law. Prospero does not claim ownership rights over the generated content except where it includes pre-existing intellectual property owned by Prospero.
No Warranties
Prospero makes no warranties or representations about the accuracy or completeness of the service’s content or the content of any sites linked to this site. Prospero assumes no liability or responsibility for:
Errors, mistakes, or inaccuracies of content.
Personal injury or property damage resulting from your access to and use of our service.

Service Fees
Prospero offers subscription plans that include various features and services. Fees for these plans are billed monthly or annually and may change with prior notice. AI services are currently included in the subscription fee, but Prospero reserves the right to modify this inclusion in the future. Users agree to pay all fees and charges incurred in connection with their account according to the terms set at the time of subscription. The cost of using the AI services per user will not exceed a portion of the total subscription fee.
